Duties of a Director

Attend quarterly or other special meetings of the Board of Directors.

Prepare, review, discuss and approve plans, programs, policies, procedures and other governing documents to guide and control all activities of the foundation.

Develop new and innovative plans and programs to increase donations from potential donors.

Nominate, consider, evaluate and vote to appoint new or replacement directors and officers of the foundation.

Review and approve summary of finances, financial records, including the tax returns, at the meetings of the Board of Directors.

Be willing to take on lead role in a task force appointed by the Board of Directors.

Approves and signs off on specific actions in accordance with established guidelines prior to action being implemented.

Ensure compliance with Bylaws and the Articles of Incorporation.
